Financial Services Transaction Brief: South Africa’s UsPlus secures $2M mezzanine investment from Verdant Capital

Transaction Summary

Verdant Capital (Pty) Ltd (Verdant Capital) has announced a $2 million investment, structured as junior convertible debentures, in UsPlus Limited (UsPlus), a South African invoice discounting company. Founded in 2015, UsPlus provides working capital solutions to businesses traditionally excluded from mainstream financing, with a strong emphasis on Black-owned, women-owned, and youth-owned MSMEs. The funding will enable UsPlus to expand its invoice factoring services and aims to crowd in senior debt funding, strengthening UsPlus' balance sheet for further growth. This investment was made through the Verdant Capital Hybrid Fund, which funds inclusive financial institutions across Africa. Launched in 2021, the fund has $38 million in committed capital, targeting $100 million by H1 2025, and invests in subordinated debt, mezzanine financing, preference shares, and stapled investment structures to provide flexible capital to digitally enabled financial institutions supporting micro, small, and medium-sized enterprises (MSMEs) across Africa.
